If 100% of your capital is tied up in a single stock and you lack additional funds to dilute your holding below 25%, a § 721 Exchange Fund is the primary tax-deferred vehicle designed for your situation. Unlike §351 ETFs, individual transferors contributing to a § 721 partnership are not required to pre-diversify before entry.

Tax Deferral vs. Permanent Elimination

IRC § 721 defers capital gains taxes; it does not eliminate them. The original cost basis carries over into your partnership units and ultimate redeemed stocks (IRC § 723).
